Please, I need help from you accounting majors!?

Question:
Are "Deferred Income Taxes" and "Postretirement and other benefit obligations" usually considered long term liabilities?
Also if i was reading a balance sheet of a corporation, and under Common stock they have as follows:
Par Value $2.00 per share, 6.5 billion shares authorized, 2.951 billion shares issued, and 2.897 billion shares outstanding, and 2.923 billion shares issued and outstanding...
Exactly how many shares are outstanding (shares that you would pay dividends on)?

And by the way I'm talking about a large Billion dollar corporation - would "Deferred Income Tax" and "Pensions and other Postretirement benefit obligations" be considered Long term liabilities for them?

Thanks in Advance
